Its September 23, 2026 ruling also reverses separate parts of the earlier judgment, including personal restitution obligations imposed on the seller’s manager. [\[S01\]](#article-source-1) Appeal 25-11.920 concerns a body-care and fitness business transferred on December 21, 2021\. The outstanding vouchers and the earlier turnover figures are historical financial facts at that sale, not new gift-card sales in 2026\. The decision is a partial reversal of the Lyon appeal court’s December 19, 2024 judgment. [\[S01\]](#article-source-1) ## Services still owed changed the picture of the business The judgment records EUR 68,176.60 of gift-voucher services sold but not yet provided at transfer, against EUR 270,756 in the seller’s preceding annual turnover. Customers had already paid, while the buyer would have to deliver the services. The court itself compared those amounts when explaining why the undisclosed obligation mattered to consent. The acquirer was formed by a former employee, but the court accepted that her work as an esthetician gave her neither a management role nor access to analytical accounts. A notebook showing vouchers sold did not establish the amount still unfulfilled at acquisition. [\[S01\]](#article-source-1) According to the findings recounted in the ruling, earlier annual accounts had not recorded the corresponding deferred revenue, and the seller’s accountant later said he had not been informed before the sale of the paid but unused vouchers. The accepted error concerned an essential quality of the business and its reported profitability, rather than only the buyer’s opinion of its price. That supported annulment. [\[S01\]](#article-source-1) ## The manager’s personal restitution order was removed The Court of Cassation removed the seller-manager’s personal obligation to repay the EUR 265,000 sale price and three specified ancillary amounts. The sale contract was between the two companies, and restitution following its annulment was owed by the contracting parties. This part was resolved by deleting the manager’s personal obligations without ordering a further trial on them. The lower order covered EUR 1,700 a month, with EUR 26,048.38 recorded through March 31, 2023\. The Court of Cassation distinguished the lapse of an interdependent lease from automatic retroactive annulment and sent the remaining reversed issues to the Dijon Court of Appeal. The chart therefore does not combine rent with the personal restitution amounts definitively removed.
