Southern Glazer’s Wine and Spirits has agreed to pay $12.5 million under a September 10 non-prosecution agreement [S01] that details how prepaid gift cards were used for concealed employee incentives and improper benefits to retail alcohol buyers.
The agreement resolves a federal investigation into the distributor and its operating divisions in California, Oregon and Washington. Southern Glazer’s accepted responsibility for employee conduct described in the attached statement of facts. The Justice Department’s announcement [S02] identifies prepaid cards among benefits that also included cash, travel and luxury goods.
According to the admitted facts, marketing vendor J. Go Events ordered millions of dollars in gift cards between at least 2017 and 2021 at the direction of distributor and supplier employees. Individual cards were worth up to $1,000. Some went to alcohol buyers at large grocery chains; others formed part of employee incentives that were not processed through Southern Glazer’s payroll.
The document describes invoices that concealed card purchases behind generic service descriptions. Supplier marketing funds helped finance the payments, while intermediaries also held personal balances for employees that could be converted into cards or travel. A 2019 restriction on processing incentives through certain vendors did not end all of the conduct, the agreement says.
The $12.5 million payment covers the broader resolution. It is not a stated total for gift-card spending or losses. Half is due within 15 business days of execution and the remainder within 12 months.

Under the two-year agreement, Southern Glazer’s must continue cooperating with related investigations and implement compliance measures. These include vendor onboarding and periodic reviews, as well as independent audits of supplier billbacks, accounts payable and employee reimbursements. Prosecutors agreed not to bring covered charges against the company if it meets its obligations.
In its own September 10 statement, Southern Glazer’s said former employees had circumvented controls using fraudulent third-party documentation. The company accepted the responsibility acknowledged in the agreement and pointed to changes in staffing, procedures and monitoring. Those are its response and compliance commitments, rather than independently established evidence that the controls now prevent every improper payment. [S03]
