Albis cancelled the shareholder award tied to September 30, 2026 regardless of whether Life Corporation’s tender offer succeeds. Its September 8 board decision makes the wider programme’s abolition conditional on that offer succeeding; in that event, the March 31, 2026 award is the last one and no March 2027 award follows. [S01]

The cancelled award follows a tiered voucher benefit

The retained March 2026 schedule shows what the programme had offered. Holders of 100–399 shares could choose JPY 1,000 in Albis CGC vouchers; the voucher value rose to JPY 3,000 for 400–599 shares, JPY 4,000 for 600–999 and JPY 7,000 for at least 1,000 shares. A qualifying continuous holding of at least one year added one JPY 1,000 voucher at every tier. [S02]

The data behind the story

These are award terms, not amounts redeemed, annual totals or rewards available to a new purchaser. The September 2026 award was cancelled; permanent abolition remains conditional on the tender offer succeeding.

Albis defines the one-year qualification through the same shareholder number appearing on at least three consecutive March 31 and September 30 registers. The alternative food courses were valued at JPY 1,000, JPY 2,000, JPY 3,000 and JPY 5,000 across the same shareholding bands, with an additional JPY 1,000-equivalent food item for qualifying long-term holders. Food values therefore did not match voucher face value above the entry tier. [S02]

The buyer’s September 8 disclosure separately repeats the distinction between cancelling September’s benefit and conditionally ending the scheme. It schedules the tender offer for September 9 to November 10, 2026 and sets a minimum acceptance condition. That is a proposed transaction timetable, not evidence of a completed acquisition as of October 19. M&A Online’s contemporary report also describes delisting as conditional on success. [S03][S05]

JPX placed Albis under supervision for confirmation on September 8 because the transaction could lead to delisting. That designation does not itself confirm delisting or remove the conditions in Albis’s benefit notice. For voucher suppliers, the immediate change is the loss of the September distribution; the issuer has not disclosed the number of affected recipients, their voucher selections or the value that would otherwise have been issued.
