YOUGotaGift announced on November 11, 2024 that Japan’s giftee had agreed to acquire a 91% stake. At that point it described regulatory approvals and customary conditions as outstanding and expected completion by month-end. The deal connected giftee’s Japan and Southeast Asia business with a gift-card platform focused on the Gulf. [1]
A subsequent buyer disclosure on November 22 records the share transfer on November 15 and completion of shareholder-register and other procedures on November 21. It reported approximately JPY 4.368 billion for the shares plus JPY 78 million in advisory fees. A seven-year, variable-rate Mizuho Bank loan of JPY 4.368 billion was executed on November 15. These later facts establish completion while preserving the original announcement’s timing. [4]
Operating profit gives the acquisition a financial baseline
Giftee’s August 14 formal disclosure provides three years of target-company results. Operating profit fell from USD 2.045 million in 2021 to USD 0.853 million in 2022, then recovered to USD 1.109 million in 2023. The recovery remained below the 2021 level, making a smooth-growth description inappropriate. [2]

The same formal table reports USD 10.007 million of net sales and USD 1.065 million of net income for 2023. Its 2022 sales figure is USD 8.883 million, while the supplementary presentation shows USD 8.1 million, with no reconciliation. That discrepancy prevents a reliable revenue-growth comparison from those documents; the chart therefore uses the consistent operating-profit series. [2] [3]
The purchase was designed in two stages, with existing management remaining. The later Japanese disclosure scheduled purchase of the remaining CEO, officer and employee holdings for April 2028 or later, at a price tied to future EBIT performance. That was a plan, not a completed acquisition of 100%. Existing investors named in the original announcement included Middle East Venture Partners and HoneyBee Tech Ventures. [1] [4] [5]
Distribution scale explains the Gulf expansion rationale
The supplementary presentation reports e-gift distribution value of USD 146.0 million in FY2022 and USD 160.7 million in FY2023. This is the value distributed through the platform, separate from its much smaller sales and profit figures. It does not state how much recipients had redeemed. [3]

YOUGotaGift’s business combined consumer gifting with corporate loyalty redemption and employee rewards, with operations centred on the UAE and Saudi Arabia. Its November announcement described more than 1,000 regional brands, access to more than 5,000 international brands and more than 2,500 corporate clients, including over 50 major loyalty programmes. These are company-reported network and client counts at that time, not a measure of regional market share. [1] [3]
Giftee linked the acquisition to geographic expansion beyond Japan and its existing ASEAN markets, alongside product development and employee-benefit uses. Its August presentation forecast FY2024 distribution of USD 220 million, sales of USD 13 million and EBITDA of USD 4 million. Those projections are kept separate from the observed charts. The completion disclosure expected target profit and loss to enter giftee’s consolidated results from FY2025, using December 31, 2024 as the deemed acquisition date. [3] [4]
